search the wiki for VPS, hopefully can help.

Quote:
A virtual private server (VPS, also referred to as Virtual Dedicated Server or VDS) is a method of partitioning a physical server computer into multiple servers such that each has the appearance and capabilities of running on its own dedicated machine. Each virtual server can run its own full-fledged operating system, and each server can be independently rebooted.

In VPS hosting, you have complete control over your server. You have root control, and can host an unlimited no. of domains on your VPS. Most web hosting companies even manage the entire server for you.

Semi dedicated hosting is somewhere between VPS and full dedicated hosting. Each user has only a percentage of the total server resources.

I believe Semi-Dedicated can be a very viable alternative to a VPS for certain circumstances. What is your intended use?

Basically, Semi-Dedicated hosting is managed much like shared hosting but in the essence that there are very few clients on the server (in comparison to shared hosting) which results in a much higher resource share for your site(s) then what you would have access to via shared hosting. Their are much laxer restrictions when using Semi-Dedicated, as opposed to Shared. Everything from emails per hour, to PHP max memory limit will be much more lax and have much higher limits than opposed to being on a shared server.

This is great for several reasons: It allows you access to familiar cPanel/WHM interface to manage your site, performance can be just as great (perhaps even better) as using a VPS, no technical knowledge of server management/SSH/Linux/etc required, often comes with support (where as a VPS support is often extra), etc. Most Semi-Dedicated hosts may provide you with SSH access (jailed, often) or will even install addons required for your site to run properly (FFmpeg, Red5, etc).

Of course, a VPS is a great option if you require full control over your virtual server. This will require the knowledge to setup, maintain, secure and optimize your server. Any licenses like cPanel, DirectAdmin, etc will come at an extra price. Server management may come at an extra price, etc.

VPS :-Virtual Private Server (VPS) technology presents multiple isolated server environments on a single physical server. VPS allows multiple customers to share the expense of hardware and network connections without sacrificing privacy, performance or preference. Each VPS is completely independent from each other and it can be rebooted independently and has its own root/administrator access. VPS provides the flexibility to add and change modules and install your own software.

Semi-Dedicated server :-Semi-dedicated server acts exactly like a VPS (virtual private server). It will also provides you root and administrator access. As compared to a VPS Hosting this Semi-Dedicated server is shared between only 6 users which will allow you to use more CPU resources and large amount of Bandwidth.
Semi-Dedicated server is very ideal hosting solution for those who need more control and resoures.

A VPS is still a shared server. You just have root access to a "virtual" server on the machine.

A dedicated server is a server you have full root access to and share resources with no one.

Generally speaking, semi-dedicated is still shared hosting in the sense that you're still sharing resources, root access is probably not provided, etc. but there's fewer customers per server.

VPS is virtualized servers and might include full root/OS access based on managed vs. unmanaged.

Most semi dedicated do not come with WHM, they normally are not reseller plans. They are for single sites that require more resources than a standard shared hosting plan.

Semi dedicated is shared hosting, you dont have the ability to configure any more than you would than if you buy an inexpensive shared hosting plan. You dont get root access, you dont get access to configure anything on the server side, you just get cpanel access in most cases.
